Does it matter how many shares I own?
 
The number of shares you own can influence your position in the company. For example, a shareholder who owns 10% of the shares may request that a specific matter be dealt with in writing at an extraordinary general meeting of shareholders.
 
The number of shares is also important when voting at the general meeting of shareholders. A shareholder holding more than 1/3 of the shares may forbid amendments to the Articles of Association, as any such amendment requires more than 2/3 votes.
 
Transfer and sale of shares
 
When selling shares, their price should be set at market value. It is also possible to sell shares at a lower price, i.e. "Gift sale". Shares can also be donated for free. In both cases, there may be a tax liability. It is best to contact an authorized accounting office to consider the best option.
 
When transferring shares, several formalities must be followed, especially if there are changes in the company's Articles of Association.
 
Every year, until January 31, the company is required to send an up-to-date shareholder report (aksjonærregisteroppgaven) to the Brønnøysund Register.
 
Agreements between shareholders
 
Shareholders may conclude an agreement that will include clauses on ownership, dividends, workload for the company, etc. Such an agreement is not required and it is advisable to consult an authorized accounting office whether it makes sense to create it.
 
What happens in the event of a conflict?
 
Unfortunately, sometimes it is impossible to avoid a dispute among the company's shareholders. How to protect yourself in the event of a conflict?
A 50% split of shares in the case of two shareholders should be avoided.
It is worth signing an agreement between shareholders and including provisions on solutions in the event of a possible dispute
