New Requirement for Businesses in Norway – Registering Beneficial Owners

Norway has introduced a national registry of beneficial owners (reelle rettighetshavere) in line with international transparency standards. From autumn 2024, businesses and organizations operating in the Norwegian market must report individuals who have actual influence over their operations.

What Is the Obligation About?


The Register of Beneficial Owners is a public system designed to identify individuals who have control over companies. This includes not only formal owners but also those with indirect influence or voting rights.

The new regulations apply to:
  • limited liability companies (AS, ASA),
  • foundations, associations, and non-profit organizations,
  • housing cooperatives,
  • Norwegian branches of foreign companies (NUF).

Sole proprietorships (ENK) and listed companies are exempt, as they are already subject to separate transparency regulations.

Who Qualifies as a Beneficial Owner?


A beneficial owner is a person who:
  • directly or indirectly owns at least 25% of the shares or voting rights,
  • has the right to appoint or remove board members,
  • exercises other forms of control over business decisions.

If a company cannot identify such a person, it must document the steps taken to determine this.

Deadlines and Penalties


The regulations came into force on October 1, 2024. Existing companies must register their beneficial owners by July 31, 2025. New businesses have 14 days from the date of registration or from any change in ownership structure to submit this information.

Failure to register or providing false information may result in administrative fines.

How to Register


Registration is done via the Altinn platform. A responsible individual (such as a board member or authorized accountant) must log in using BankID or another approved ID and complete the form RRH-0100.
